1. Introduction
Welcome to Kingdom Valet ("Kingdom Valet," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of all valet parking solutions, digital check-in tools, SMS communication services, payment modules, and operational features provided through the Valletto platform (the "Platform").
Contracting parties. When you use valet services at a location operated by Kingdom Valet, you are entering into a contract with Kingdom Valet—the valet company that operates the service and employs or engages the valet staff. Valletto LLC ("Valletto") is not a party to that contract. Valletto is solely the technology provider: it supplies the software, SMS infrastructure, and digital tools that Kingdom Valet uses to run its valet operations. All valet services—including vehicle handling, key storage, and retrieval—are provided by Kingdom Valet, not Valletto.
Acceptance. By accessing or using any part of the Platform—including scanning a valet QR code, entering your phone number, receiving SMS updates, submitting photos, or processing payments—you expressly agree to be bound by these Terms and to contract with Kingdom Valet on these terms. If you do not agree with these Terms, you may not use or access any Valletto-powered services.
Valletto acts as the technology, communications, and systems provider for Kingdom Valet. Valletto supplies all digital tools, SMS systems, software infrastructure, storage, and operational processing required to complete your valet experience. Valletto does not operate valet services, employ valet staff, park or retrieve vehicles, or make decisions regarding vehicle handling. All valet services are performed solely by Kingdom Valet.
2. Description of Services
Kingdom Valet provides a digital operating system used by participating valet companies to manage vehicle check-ins, SMS notifications, storage of key information, vehicle retrieval workflows, payment processing, and related operational needs.
Through the Platform, guests may:
- Check in their vehicle through a digital intake form
- Receive real-time SMS updates
- Submit optional photos (vehicle, tag, damage records)
- Request vehicle retrieval
- Access estimated pickup times
- Complete digital payments or tips (when enabled)
- Communicate with valet staff (HELP/STOP)
- View policies, terms, privacy disclosures, and service details
All communications are strictly service-related and never promotional. No marketing messages are sent.
3. SMS Communications & Required Notices (10DLC-Compliant)
3.1 Opt-In Requirement
Guests must manually provide consent to receive SMS updates by:
- Entering their mobile phone number
- Reading the displayed disclosure text
- Checking the required consent box
- Submitting the digital intake form
Consent cannot be pre-checked, implied, assumed, or bundled with other agreements.
3.2 Required SMS Disclosure (Displayed Above Checkbox)
This exact CTIA/10DLC-required language appears directly above the opt-in checkbox:
"I agree to receive SMS updates from Kingdom Valet powered by Valletto about my valet service. Message and data rates may apply. Message frequency varies. Reply STOP to unsubscribe or HELP for help."
Your company name is dynamically injected based on your subdomain (e.g., Kingdom Valet.valletto.io).
3.3 Required "Opt-In Message" for Carrier Campaign Form
This message is automatically sent when the guest completes their opt-in:
"Kingdom Valet: Thank you for subscribing. Text HELP for help. Text STOP to unsubscribe. Message and data rates may apply. Message frequency varies."
This exact format is required for carrier approval.
3.4 Message Frequency
Message frequency varies based on service activity (commonly 1–6 msgs), but may increase if your valet session has additional actions such as:
- Key received
- Car moved
- Retrieval confirmed
- Vehicle approaching
- Vehicle ready
No marketing messages will ever be sent.
3.5 STOP & HELP Commands
- STOP – Immediately ends all SMS communication for the current valet session.
- HELP – Returns support contact information including the valet company's name, phone number, and website.
3.6 No-Sharing Clause (Carrier-Required Language)
Your contact number will not be shared with third parties for their marketing or other purposes.
This is mandatory for all 10DLC campaigns.
4. Digital Payments
If digital payments or digital tips are offered at the valet location, the following applies:
- All payments are processed through secure third-party PCI-compliant processors (e.g., Stripe).
- Valletto does not view, store, access, or retain full credit card numbers.
- Applicable fees (convenience fees, taxes, surcharges) will be shown before payment is submitted.
- Guests must confirm payment authorization before charges are processed.
- Refunds, disputes, or adjustments follow the valet company's policies and state regulations.
If Apple Pay, Google Pay, or App Clip payments are used, those systems' respective terms also apply.
5. Guest Responsibilities
Guests agree to:
- Provide accurate and truthful phone, vehicle, and identification information
- Follow property rules, valet instructions, and retrieval procedures
- Maintain valid insurance and registration
- Ensure the vehicle is safe and operable
- Remove valuable personal items from the vehicle
- Not attempt to interfere with or misuse any part of the Platform
False information may result in delays or denial of service.
6. Disclaimers and Limitation of Liability
6.1 "AS IS" and "AS AVAILABLE" Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL VALET SERVICES AND THE PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Kingdom Valet and Valletto do not warrant that:
- Services will be uninterrupted, timely, secure, or error-free
- Information provided will be accurate, complete, or reliable
- Any defects will be corrected
- The Platform or servers are free of viruses or harmful components
6.2 No Liability for Certain Damages
Neither Kingdom Valet nor Valletto shall be responsible for:
- Pre-existing vehicle damage (scratches, dents, cracks, wear and tear)
- Weather-related conditions (wind, rain, flooding, debris, heat, cold)
- Environmental effects (dust, dirt, pollen, tree sap, bird droppings)
- Loss or theft of personal belongings left in the vehicle
- Delays caused by traffic, mechanical issues, emergencies, or staffing
- Errors caused by incorrect information provided by guests
- Acts of third parties, including theft or vandalism
- Force majeure events beyond reasonable control
6.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
INDIRECT DAMAGES WAIVER:
IN NO EVENT SHALL Kingdom Valet OR VALLETTO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST WAGES, BUSINESS INTERRUPTION, LOSS OF USE, OR COST OF SUBSTITUTE SERVICES.
LIABILITY CAP:
Kingdom Valet'S AND VALLETTO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR VALET SERVICES SHALL NOT EXCEED THE GREATER OF:
- FIFTY DOLLARS ($50.00), OR
- THE TOTAL FEES YOU PAID FOR THE VALET SERVICE GIVING RISE TO THE CLAIM
6.4 State Law Carve-Outs
Nothing in this Section limits rights that cannot be waived under applicable state consumer protection laws. Some states do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, liability is limited to the fullest extent permitted by applicable law.
6.5 Acknowledgment
You acknowledge that the disclaimers and limitations in this Section are essential elements of the agreement between you and Kingdom Valet and reflect a reasonable allocation of risk.
7. Key & Vehicle Handling Protocols
Your key or digital fob may be stored in:
- Secure on-site lockboxes
- Digitally tracked key cabinets
- Employee-access-only systems with ID logging
- Time-stamped check-in and retrieval workflows
Only authorized valet personnel may access or handle keys. All interactions with your vehicle follow Kingdom Valet's internal policies and local operational requirements.
7A. Guest Indemnification
You agree to indemnify, defend, and hold harmless Kingdom Valet, Valletto LLC, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your providing false, inaccurate, or misleading information
- Your vehicle's condition, including lack of insurance, registration, or roadworthiness
- Loss or theft of personal property left in your vehicle
- Your acts or omissions relating to the use of valet services
- Any damage caused by your vehicle to persons or property
- Any third-party claims relating to your vehicle or use of services
This indemnification obligation survives termination of these Terms.
8. Service Interruptions
Service may be temporarily suspended due to:
- Safety concerns
- Severe weather
- System maintenance
- Outages from carriers or payment processors
- Emergencies or building restrictions
- Technical malfunctions
- High-traffic conditions
Delays due to these interruptions do not create liability for Valletto or Kingdom Valet.
9. Dispute Resolution
Any disputes involving your valet service—including SMS notifications, payments, or vehicle handling—will be governed by the laws of the state in which the valet service was performed, without regard to conflict of law principles.
You and Kingdom Valet consent to the exclusive personal jurisdiction and venue of the state and federal courts located in the jurisdiction where the valet service was performed, the state where the valet service was performed (or, if the jurisdiction where the valet service was performed or the state where the valet service was performed is not available, the state in which the valet service was performed) for any dispute that is not subject to binding arbitration under Section 9A.
Parties agree to:
- Attempt informal resolution first
- Proceed under the local jurisdiction's governing rules
- Submit disputes to small claims court when appropriate and not subject to arbitration
Nothing in these Terms limits rights granted under applicable state consumer laws.
9A. Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Agreement to Arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms, your use of valet services, or any services provided by Kingdom Valet (collectively, "Disputes") shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, rather than in court.
Arbitration Procedures
- The arbitration shall be conducted by a single arbitrator
- The arbitration shall take place in the jurisdiction where the valet service was performed, the state where the valet service was performed or via videoconference
- The arbitrator's decision shall be final and binding
- Each party shall bear its own costs and fees
CLASS ACTION WAIVER
YOU AND Kingdom Valet AGREE THAT DISPUTES MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
JURY TRIAL WAIVER
YOU AND Kingdom Valet WAIVE ANY RIGHT TO JURY TRIAL.
Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to kingdomvaletoc@gmail.com within 30 days of first using the Platform. Opting out does not affect your ability to use valet services.
Exceptions
Either party may bring an individual action in small claims court if the claim qualifies. Either party may seek injunctive relief in court to prevent irreparable harm.
10. Modifications
Valletto may update, revise, or modify these Terms periodically. When changes occur:
- The "Last Updated" date at the top of this page will be updated
- Continued use of the Platform constitutes acceptance of the revised Terms
- Significant changes may be highlighted on the page or communicated through on-site valet staff
Guests are encouraged to review the Terms regularly.
11. Privacy & Data Protection
We take data protection seriously and are committed to safeguarding all personal information collected through the Valletto Platform. This includes any data submitted during digital check-in, SMS interactions, payment processing, and vehicle retrieval workflows.
Our Privacy Policy explains in detail:
- What information is collected
- How data is used and stored
- How long data is retained
- The rights guests have regarding their information
- Security measures used to protect the data
- How SMS phone numbers are handled, including the required no-sharing clause
- How cookies, logs, and analytics may operate on certain parts of the Platform
Because Valletto provides technology services to many valet companies, each company receives a company-specific Privacy Policy tailored to their brand name and subdomain.

13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, which shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.
